Terms of Engagement & Master Services Agreement

1. Master Services Agreement (MSA) Structure

All custom web engineering builds, managed website memberships, and strategic consulting engagements provided by Icatek LLC are governed by mutually executed bilateral Master Services Agreements (MSAs), Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs).

2. Retainer & Sprint Commitment

Icatek engages clients under a dedicated monthly managed membership model. To ensure high quality, senior engineering availability is allocated and reserved exclusively for each client at the start of each monthly cycle. Consequently:

• Engagements begin upon receipt of the initial Setup & Architecture Fee plus First Month Membership.
• Dedicated engineering sprints and allocated retainer hours are non-refundable once scheduled.
• Clients receive advance monthly renewal notices 7 business days prior to cycle renewal.

3. 100% Client Intellectual Property (IP) Ownership

Upon full payment of applicable fees, clients retain 100% unrestricted intellectual property ownership of all custom software code, graphic designs, copywriting, digital assets, domain names, and third-party account licenses created during the engagement. Icatek does not enforce proprietary CMS lock-ins.

4. Objective Technology Agnosticism

Technical platform recommendations (including Next.js, Webflow Enterprise, Shopify Plus, or Cloudflare) are made objectively based on performance fitness, operational agility, and total cost of ownership.
